Terms of Service

The rules for using Quotely's online document-generation subscription.

Important boundary
Quotely creates editable templates and drafts. It is not a law firm, accountant, tax adviser, payment facilitator, lender, factor or collection agency.

1. Service and eligibility

Quotely is online-only software for drafting quotes, scopes of work, invoices, payment terms, chase communications, variations, layouts and explainers. You must be able to form a binding contract. Users under 13 may not use the service; users aged 13–17 need guardian consent.

2. Accounts and security

Provide accurate account information, protect credentials and tell us promptly about suspected misuse. You are responsible for activity under your account unless caused by our failure to use reasonable care.

3. USD subscriptions

Paid plans are billed in USD monthly or yearly through our payment provider and renew until cancelled. Allowances reset each billing period and do not roll over. Plans contain no credits, stored value or client funds. Taxes on our subscription may be added where required.

4. Outputs and professional review

Outputs are AI-assisted document templates and drafts, not legal, accounting or tax advice. You must verify the parties, scope, exclusions, price, currency, tax treatment, invoice numbering, statutory fields, dates, interest wording and enforceability for your jurisdiction before use. Seek a qualified professional when needed.

5. Client money boundary

Quotely does not receive, hold or transfer money between you and your client. Use your own payment channel so funds go directly to your account. Stripe on this site charges only the Quotely subscription. We do not offer credit, factoring, debt recovery or collection services.

6. Acceptable conduct

You must follow the Acceptable Use Policy. Do not create false invoices, misrepresent completed work, evade tax, infringe rights, threaten recipients or use chase templates as legal process.

7. Content and licence

You retain rights in your inputs and generated documents as described in the Content License. You grant us a limited licence to process them only to operate, secure and support the service.

8. Availability and changes

We use reasonable care to keep the service available but do not guarantee uninterrupted generation or that outputs will suit every purpose. We may change features or limits with reasonable notice where the change materially affects a paid plan.

9. Liability

Nothing excludes liability that cannot legally be excluded. Subject to that, we are not responsible for losses caused by unreviewed output, inaccurate tax or legal fields, client non-payment, lost profits or indirect loss. Our aggregate liability relating to a paid service is limited to fees paid in the previous 12 months.

10. Cancellation and suspension

You may cancel renewal at any time and retain access through the paid period. We may suspend harmful or unlawful use, normally with notice where practical. Refund eligibility follows the Refund and Cancellation Policy.

11. Governing law and contact

These terms are governed by the laws of England and Wales. Courts with mandatory consumer jurisdiction retain their protections. Otherwise, the courts of England and Wales have jurisdiction.
